# CARCHANGER™ Terms of Service

CARCHANGER is an online peer-to-peer marketplace that helps vehicle owners list vehicles, describe the vehicles they want, discover possible matches, express mutual interest, and connect with one another.

CARCHANGER is not a party to a vehicle exchange between users. CARCHANGER does not take ownership or possession of user vehicles, buy or sell vehicles for users, determine the final terms of an exchange, provide vehicle financing or insurance, perform title transfer, hold vehicle transaction funds, perform vehicle inspections, provide transportation, warrant vehicles, act as the obligor or insurer for vehicle-protection coverage, or administer vehicle-protection claims. CARCHANGER may provide links, recommendations, or access to independent third-party service providers. Those providers operate independently and may have their own terms, fees, eligibility requirements, coverage, exclusions, claims processes, and policies.

## 1. Eligibility
Users must be legally capable of entering agreements in the place where they live and use CARCHANGER. Users are responsible for complying with applicable laws and local requirements.

## 2. Listings and vehicle information
A user who lists a vehicle represents that the user owns the vehicle or has lawful authority to list it. Users must provide truthful information and must not knowingly provide false VIN information, false ownership information, altered documents, misleading photographs, false mileage information, or other fraudulent information.

CARCHANGER may require photographs or other basic evidence before a vehicle is visible in matching. These platform checks are designed to improve listing quality and do not amount to a warranty, inspection, title opinion, ownership guarantee, or legal approval of the vehicle.

## 3. Matching service
CARCHANGER uses user-provided preferences and available marketplace information to identify possible matches. A match is only a possible connection. CARCHANGER does not guarantee that a suitable vehicle will be found, that another user will be interested, that the vehicles are equal in value, or that an exchange will be completed.

Users make their own decision whether to communicate, inspect a vehicle, agree on value differences, arrange financing, verify ownership, use a third-party provider, or complete an exchange.

## 4. CARCHANGER fees
CARCHANGER may charge one-time marketplace service fees.

- **Search Activation Fee: $75 per user.** This activates CARCHANGER's vehicle matching/search service. It is a fee for the marketplace search service, not a deposit toward any vehicle, and a match is not guaranteed.
- **Match Unlock Fee: $75 per user.** This unlocks communication and connection tools for an eligible mutual match.

These are one-time service fees and are not automatically renewing subscriptions. Third-party provider fees, vehicle payments, value differences, taxes, registration fees, lender charges, inspection charges, transportation charges, insurance costs, optional vehicle-protection costs, and similar transaction costs are separate from CARCHANGER's fees.

### Refunds
The Search Activation Fee may be refunded before the activated matching service begins. Once the matching service begins, it is generally non-refundable except where required by law, where duplicate billing occurred, or where CARCHANGER elects to provide a refund or credit. The Match Unlock Fee is generally non-refundable once the match connection is unlocked, except where required by law or where the charge was made in error.

## 5. Mutual matches and communication
A mutual match occurs when users indicate interest in exploring an exchange with one another. A mutual match does not create a sale, purchase, exchange agreement, agency relationship, partnership, or obligation to complete a transaction.

After the applicable Match Unlock fee is paid, users may communicate directly and decide how they wish to proceed.

## 6. Anti-circumvention
CARCHANGER invests resources in identifying and creating marketplace matches. Before a Match Unlock is completed, users may not intentionally use a CARCHANGER introduction, match, or information learned through CARCHANGER to bypass the platform for the purpose of avoiding an applicable CARCHANGER fee.

Before Match Unlock, users may not use CARCHANGER messaging or platform features to exchange hidden phone numbers, email addresses, social-media handles, payment handles, external messaging links, or coded instructions intended to bypass the Match Unlock fee.

Once a Match Unlock is completed, users may exchange contact information and communicate outside CARCHANGER if they choose.

CARCHANGER may restrict, suspend, or terminate accounts that intentionally circumvent marketplace fees or abuse platform safeguards.

## 7. User responsibility for the exchange
The users, not CARCHANGER, are responsible for agreeing the terms of any exchange and for satisfying requirements that may apply to them, including vehicle condition review, inspections, liens, lender payoff, financing, title transfer, registration, taxes, insurance, transport, documentation, emissions or roadworthiness requirements, and physical handover.

Rules vary by country, state, province, region, and transaction type. Each user is responsible for determining what applies to that user's transaction.

## 8. Financed, liened, or leased vehicles
Users must truthfully disclose when a vehicle is financed, liened, leased, jointly owned, or otherwise subject to another party's interest. CARCHANGER does not transfer loans or release liens. Users must work with their lender, lessor, title authority, or an independent provider as appropriate.

## 9. Vehicle condition, inspections, and optional protection
CARCHANGER does not warrant the condition, safety, authenticity, reliability, value, or future performance of any vehicle. Users should perform whatever inspection or due diligence they consider appropriate before completing an exchange.

If CARCHANGER recommends an inspection company, history provider, mechanic, or other service, that provider is independent from CARCHANGER unless expressly stated otherwise.

After an eligible mutual match is unlocked, CARCHANGER may make optional vehicle-protection products from independent third-party providers available for users to consider. Any such product is optional. The independent provider determines availability, eligibility, pricing, coverage, exclusions, inspection requirements, claims handling, and other terms. CARCHANGER is not the warrantor, obligor, insurer, or claims administrator for that protection unless a future written agreement and applicable disclosures expressly state otherwise.

## 10. Payments and value differences
CARCHANGER's marketplace service fees are separate from any money users agree to exchange between themselves. CARCHANGER does not hold vehicle purchase, payoff, or equalization funds in its ordinary operating accounts.

Users are responsible for choosing an appropriate payment or settlement method. CARCHANGER may recommend independent payment or settlement providers but does not guarantee their services.

## 11. Independent third-party providers
CARCHANGER may recommend or link to services such as vehicle history, inspection, identity verification, financing, lender payoff assistance, payment or settlement, title and registration assistance, insurance, optional vehicle protection, or transportation. Using a recommended provider does not make that provider CARCHANGER's agent, and CARCHANGER is not responsible for the provider's independent acts, omissions, pricing, availability, eligibility decisions, coverage decisions, claims decisions, or service quality.

## 12. Fraud and prohibited conduct
Users may not use CARCHANGER for theft, fraud, identity misuse, title fraud, odometer fraud, stolen vehicles, forged documents, money laundering, harassment, deceptive listings, or other unlawful conduct. CARCHANGER may remove listings, restrict accounts, preserve records, and cooperate with lawful requests where appropriate.

## 13. No guarantee
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CARCHANGER PROVIDES ITS MARKETPLACE AND MATCHING TECHNOLOGY ON AN "AS AVAILABLE" BASIS. CARCHANGER DOES NOT GUARANTEE A MATCH, A USER, A VEHICLE, A THIRD-PARTY PROVIDER, OPTIONAL VEHICLE-PROTECTION COVERAGE, OR THE COMPLETION OR OUTCOME OF ANY VEHICLE EXCHANGE.

Nothing in these Terms removes consumer rights that cannot lawfully be excluded.

## 14. Changes to these Terms
CARCHANGER may update these Terms prospectively. When appropriate, users may be asked to accept a newer version before continuing to use a paid or material feature.

## 15. Electronic acceptance
Checking an acceptance box or taking another clearly identified affirmative action constitutes electronic acceptance of the identified version of these Terms.

# Vehicle Owner Disclosure Agreement

By listing a vehicle, I confirm that:

1. I own the vehicle or have lawful authority to list it.
2. I have truthfully stated whether it is owned outright, financed, liened, leased, jointly owned, or otherwise restricted.
3. The year, make, model, VIN, mileage, photographs, and other material information I provide are accurate to the best of my knowledge.
4. I will not knowingly conceal a material problem when CARCHANGER asks for relevant vehicle information.
5. I understand that CARCHANGER does not inspect, warrant, value, insure, finance, or legally approve my vehicle.
6. I am responsible for completing any title, lender, insurance, tax, registration, inspection, or other requirement that applies to my exchange.

# Match Service & Fee Terms

I understand that the Search Activation Fee pays for CARCHANGER's search and matching service and does not guarantee a match. I understand that the Match Unlock Fee unlocks communication and connection tools for an eligible mutual match. These fees are marketplace service fees and are separate from any vehicle payment or third-party service cost.

# Anti-Circumvention Agreement

Before Match Unlock, I will not intentionally use a CARCHANGER match or introduction to bypass CARCHANGER for the purpose of avoiding the applicable Match Unlock fee. After Match Unlock, I may communicate directly with the other owner and decide how to proceed.

# Inspection Information

CARCHANGER does not perform vehicle inspections. Users decide whether to inspect a vehicle and may select their own mechanic or independent inspection provider. Any provider recommended by CARCHANGER operates independently unless expressly stated otherwise.

# Optional Vehicle Protection Information

Optional vehicle protection may be offered after an eligible mutual match is unlocked. Any protection product is provided under the independent provider's terms and is not required to use CARCHANGER or complete an exchange. The provider determines eligibility, pricing, coverage, exclusions, inspection requirements, and claims handling. CARCHANGER is not the warrantor, obligor, insurer, or claims administrator for that protection.

# Payment and Settlement Information

CARCHANGER does not hold vehicle transaction principal in its ordinary operating accounts. Users decide how to handle value differences, lender payoff, financing, or settlement. Any third-party payment, escrow, financing, or settlement provider operates under its own terms.

# Exchange and Handover Information

Users are responsible for deciding when and how to exchange vehicles, keys, documents, and possession. Users should satisfy the title, lien, lender, registration, insurance, tax, inspection, transportation, and other requirements that apply where they live and to their particular transaction.

# Privacy Policy

CARCHANGER collects information users provide, including account and contact information, vehicle information, photographs, VIN, location information, search preferences, communications, verification status, payment-status metadata, and marketplace activity.

CARCHANGER uses this information to operate accounts, provide vehicle matching, display marketplace listings, communicate with users, process CARCHANGER service fees, prevent fraud, provide support, improve the service, and comply with applicable requirements.

CARCHANGER may share information with another user when appropriate for a mutual match or unlocked connection. CARCHANGER may also share information with service providers that support the platform or with independent third-party providers when the user chooses to use or connect with those services.

CARCHANGER does not sell personal information as its business model. CARCHANGER uses reasonable safeguards, but no online service can promise absolute security.

Users may request access, correction, or deletion where available under applicable law. Some records may be retained for fraud prevention, dispute handling, accounting, security, or other legitimate purposes.

Users are responsible for keeping account credentials secure and for promptly reporting suspected unauthorized access.
